Agreement Overview

This Terms of Service document is intended for website publication and printable reference. It should be read together with the other policy pages then in effect on the 24K Maple Supply Site.

These Terms of Service ("Terms") govern your access to and use of the 24K Maple Supply website, including all related pages, collections, product listings, policy pages, checkout pages, customer account pages, forms, chats, communications, and any purchase, pre-order, backorder, quote request, invoice payment, delivery arrangement, warranty claim, or support interaction with 24K Maple Supply ("24K Maple Supply", "we", "us", or "our").

By visiting our website, accessing any part of the Site, requesting information, creating an account, placing an order, paying an invoice, or purchasing any product or service from us, you agree to be bound by these Terms, together with any additional policies, disclosures, notices, or transaction-specific terms referenced herein or made available on our website. If you do not agree to these Terms, you must not use the Site or purchase from us.

These Terms are intended to work together with our Privacy Policy, Shipping Policy, Return & Refund Policy, Warranty Policy, and any other policy, product-specific notice, quote, invoice, or written communication issued by 24K Maple Supply. If there is a direct conflict, the following order of precedence will generally apply unless applicable law requires otherwise:

  1. a separately signed written agreement;
  2. a transaction-specific written quote, invoice, or acceptance issued by 24K Maple Supply;
  3. a product-specific written warranty or service statement;
  4. the policy most directly applicable to the issue; and
  5. these Terms.

If you are using the Site or placing an order on behalf of a company, salon, spa, clinic, studio, institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case "you" and "your" refer to both the individual acting and the entity on whose behalf the individual is acting.

2. Mandatory Rights; No Unlawful Waiver

Nothing in these Terms excludes, restricts, waives, or modifies any right, remedy, guarantee, condition, cancellation right, refund right, privacy right, disclosure obligation, or other protection that cannot lawfully be excluded, restricted, or waived under applicable federal, provincial, or territorial law.

To the extent any provision of these Terms conflicts with a mandatory legal right, the mandatory law will control to the extent of the conflict, and the remainder of these Terms will remain in effect.

If you are a Consumer Purchaser, you may have statutory rights that apply despite these Terms. If you are a Business Purchaser, you acknowledge that some consumer-specific statutory remedies may not apply in the same way, and that your rights may be defined primarily by the written contract documents, warranty documents, and other applicable law.

3. Eligibility, Accounts, and Accurate Information

You represent that you are at least the age of majority in your place of residence and that you have the legal capacity to enter into a binding agreement.

If you create an account, request a quote, submit delivery details, or place an order, you agree to provide accurate, current, complete, and verifiable information, including your legal name, company name if applicable, billing address, delivery address, email address, phone number, and any additional information reasonably required for order processing, fraud prevention, carrier booking, legal compliance, or warranty support.

You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account and devices. You are responsible for all activity under your account except to the extent caused by our own fault where the law does not permit exclusion.

We reserve the right to suspend, restrict, or terminate an account, quote process, or order process if submitted information appears inaccurate, incomplete, inconsistent, fraudulent, unverifiable, or operationally unsuitable for fulfillment.

4. Site Content, Product Information, and Availability

We strive to present product information accurately and in commercially reasonable detail. However, product descriptions, dimensions, weights, capacities, colors, upholstery descriptions, finish descriptions, features, package contents, motor counts, heating functions, memory functions, swivel or rotation functions, warranty references, care instructions, stock levels, lead times, images, and videos are provided for general informational purposes only and may change without notice.

Many specifications are based on supplier information, manufacturing tolerances, running product improvements, or batch-to-batch variation. Actual products may vary slightly in dimensions, finish tone, upholstery grain, stitching, hardware, packaging, included literature, or non-material cosmetic details.

Images are illustrative and may appear differently depending on lighting conditions, camera settings, editing, browser rendering, screen calibration, and device display settings. Promotional images may also show optional accessories, tools, stools, bolster pillows, disposable items, decor, or room layouts that are not included unless expressly stated in writing.

We do not guarantee that your monitor or mobile display will accurately represent every color, finish, or texture. Inventory, promotion, and availability information may not always be synchronized in real time. A product displayed as available, low stock, on sale, or backorderable may become unavailable before your order is accepted.

We reserve the right to discontinue products, limit quantities, split shipments, substitute updated packaging, or cancel an order if availability, pricing, product data, or fulfillment conditions change before acceptance.

5. Suitability, Professional Use, and Regulatory Responsibility

Many of our products are intended for use in beauty, wellness, treatment, salon, massage, aesthetics, or related professional environments. References on the Site to treatment, physiotherapy, examination, clinical, spa, wellness, massage, chiropractic, aesthetic, or medical-style settings describe common usage environments only.

Unless we expressly state otherwise in writing for a specific product, such references do not constitute a representation that a product is a licensed medical device or that it complies with any particular legal, building, electrical, occupational, infection-control, insurance, accessibility, landlord, or professional regulatory requirement applicable to your business or premises.

You are solely responsible for determining whether a product is appropriate for your intended use, business model, users, clients, patients, procedures, workflow, physical premises, flooring, room layout, electrical environment, and regulatory obligations.

If your business requires a product to satisfy a particular code, standard, permit condition, insurance requirement, accessibility rule, clinic protocol, or licensing rule, you must independently verify compliance through qualified professionals before purchase and use. No oral statement, chat response, showroom discussion, email exchange, social message, or informal recommendation by us will be deemed a binding guarantee of regulatory or clinical suitability unless expressly confirmed in a written statement issued by an authorized representative of 24K Maple Supply.

6. Quotes, Listings, and Order Formation

Product listings, page displays, stock messages, pricing displays, and promotional placements are invitations to make an offer and not binding offers capable of acceptance solely by your act of placing an order.

Your order is an offer by you to purchase the product or service subject to these Terms and any transaction-specific terms. An order is not accepted merely because payment has been initiated, a cart has been created, an automated email has been issued, or a quote has been requested.

Acceptance occurs only when we expressly confirm acceptance in writing, issue a shipment confirmation, dispatch the product, deliver the product, or otherwise indicate in writing that we have accepted the order.

We reserve the right, before or after payment authorization and before final acceptance, to reject, limit, verify, modify, or cancel any order for legitimate reasons, including suspected fraud, reseller activity, pricing error, product information error, stock unavailability, carrier limitations, delivery impracticality, legal or compliance concerns, incomplete customer information, or unusual operational risk.

Unless expressly authorized by us in writing, products are sold for end use by the purchaser and not for marketplace relisting, unauthorized resale, or distributor-style redistribution.

7. Pricing, Currency, Taxes, Fees, and Promotions

Unless otherwise expressly stated, prices on the Site are shown in Canadian dollars. Prices do not automatically include shipping, White Glove fees, liftgate fees, remote-area surcharges, storage charges, taxes, duties, broker fees, or any other charges unless expressly indicated.

We reserve the right to correct any typographical, data-entry, supplier-feed, configuration, or pricing error at any time, including after an order has been submitted. Where required by law, you will be given any remedy the law requires if such an error affects your transaction.

Promotions, coupon codes, introductory offers, sale pricing, shipping offers, first-order discounts, bundle discounts, or financing promotions are subject to the specific terms displayed with the offer or at checkout. Unless expressly stated otherwise, promotions may be limited by category, geography, order value, customer identity, or household, may not be combined, may have no cash value, and may be withdrawn or changed without notice.

Any free shipping or subsidized shipping offer applies only on the terms posted at the time of the transaction and may exclude remote, hard-to-access, surcharge, island, northern, limited-road, or special-handling locations.

8. Payment Authorization, Verification, and Third-Party Payment Services

You agree to provide a valid payment method that you are authorized to use. By submitting payment information, you authorize us and our third-party payment processors to charge the full order value and any other amounts that become properly payable in connection with the transaction, including agreed deposits, quoted freight surcharges, delivery upgrade fees, re-delivery fees, storage fees, or similar approved charges.

We may use third-party payment processors, checkout providers, gateways, wallets, financing tools, or installment providers integrated into the Site from time to time. Those services may be governed by separate third-party terms and privacy practices. 24K Maple Supply is not a bank or lender and is not responsible for a third-party provider's underwriting decision, account terms, delay, outage, or independent conduct except to the extent caused directly by our own breach of a non-excludable legal obligation.

We may require identity verification, address verification, tax information, business information, written acceptance of a quote, or other reasonable verification before shipping.

If a payment is declined, reversed, held, clawed back, or later determined to be unauthorized or fraudulent, we may suspend fulfillment, refuse delivery, cancel the order, withhold non-mandatory support pending verification, and pursue lawful remedies.

9. Special Orders, Deposits, Backorders, and Pre-Orders

Certain products, finishes, upholstery options, custom widths, accessories, delivery arrangements, or remote freight arrangements may require a deposit, staged payment, or full prepayment before procurement or shipment.

Special Orders may not be cancellable or modifiable after procurement, customization, production scheduling, booking, or freight preparation has begun, except where required by law or expressly agreed by us in writing.

Deposits on Special Orders may be non-refundable except as required by law or where we cancel the order.

Backorder and pre-order timelines are estimates only. Supplier shortages, freight congestion, customs issues, weather, labor disruptions, and similar factors may affect timing. Delay alone does not entitle you to damages, cancellation, or compensation except where applicable law requires otherwise.

10. Oversized Freight Delivery; Standard Curbside Service

Because many of our products are oversized, heavy, palletized, motorized, or commercial-grade, standard delivery for large-format items is generally freight delivery to curbside, driveway, loading area, or ground-floor entrance only, unless a different service level is expressly purchased and confirmed in writing.

Standard freight delivery does not include inside delivery, room placement, stair carry, elevator carry, threshold crossing, debris removal, old equipment removal, assembly, installation, anchoring, technical setup, wiring, plumbing, mounting, training, or haul-away.

The freight carrier's standard responsibility is ordinarily limited to bringing the shipment to the agreed delivery point in accordance with the applicable service level and obtaining delivery acknowledgment in normal course. Freight carriers are not required to cross thresholds, navigate stairs, or enter residential or commercial premises unless a different service level was specifically purchased and confirmed.

Carrier methods, equipment, routing, and personnel are determined by the carrier or freight broker. Estimated delivery dates and time windows are estimates only unless a specific guaranteed service has been purchased in writing.

11. Optional White Glove Service

For some orders and locations, we may offer an optional White Glove or upgraded delivery service for an additional fee. White Glove Service is not included unless expressly quoted and accepted.

Where offered, White Glove Service may include inside delivery, room-of-choice placement, limited unpacking, limited debris removal, and only limited setup within the written scope quoted by us. Unless expressly stated in writing, White Glove Service does not include structural modifications, disassembly of doors or walls, elevator booking, electrical work, plumbing work, permanent installation, technical commissioning, compliance inspection, disposal of existing furniture, or any work requiring licensed trades.

White Glove availability is subject to geography, safety, staffing, carrier availability, and truthful disclosure of site conditions. If actual conditions at the delivery location are unsafe, inaccessible, materially different from what was disclosed, or outside the quoted scope, the delivery team may refuse part or all of the service, and additional charges or rescheduling may apply.

12. Customer Responsibilities Before Delivery

You are responsible for ensuring that the delivery address is correct, lawful, accessible, and suitable for the products ordered.

Before placing an order and again before delivery, you must verify door widths, hallways, staircases, railings, elevator dimensions, ceiling clearances, turning radii, flooring suitability, loading dock requirements, parking conditions, winter access conditions, local road restrictions, building bookings, condominium rules, strata rules, landlord approvals, and any other site conditions that may affect delivery or safe placement.

You must provide an active phone number and ensure that you or an authorized adult recipient is available during the carrier's delivery window.

For standard curbside delivery, you are responsible for moving the product from the delivery point into the premises and to its final location. You are also responsible for arranging any labor, tools, lifting equipment, dollies, ramps, service elevator bookings, or professional movers you may need.

13. Assembly, Installation, Electrical Compatibility, and Packaging

Unless expressly stated otherwise in writing, assembly and installation are your responsibility. Even if a product is described as "easy assembly" or includes hardware or basic tools, that description is general only and does not guarantee simplicity in every environment or for every user.

You must not operate any motorized or electrical product until it is fully assembled, placed on a suitable surface, connected to a suitable power supply, and checked in accordance with the manual and any safety instructions.

You are responsible for verifying voltage compatibility, outlet suitability, circuit suitability, and any premises-level electrical requirements before use.

Any telephone, email, video, or chat guidance provided by us regarding unpacking, setup, or troubleshooting is courtesy support only and does not convert us into your installer, contractor, electrician, mover, or site supervisor.

Unless included in a specifically purchased White Glove scope, you are responsible for unpacking, disposing of pallets and packaging, and arranging any debris removal after delivery.

14. Delivery Scheduling, Missed Appointments, and Storage Fees

Freight deliveries are often scheduled by appointment. Carriers may contact you directly by phone, email, or message to arrange a date and time window. You agree to cooperate in good faith with scheduling.

If you or your representative miss a scheduled delivery, fail to answer the carrier, fail to provide lawful access, or refuse delivery for a reason not caused by our breach or a carrier-documented material transit issue, you may be responsible for re-delivery, storage, terminal handling, limited-access, liftgate, or reconsignment fees imposed by the carrier. We may pass such charges through to you.

Delivery delays may occur due to weather, carrier backlog, road closures, customs issues, supplier delay, public holidays, labor disruptions, system outages, or safety concerns. Such delays do not, by themselves, create liability for lost profit, lost business, contractor cost, opening delay, or similar consequential loss.

15. Inspection on Delivery; Transit Damage; Shortages

You must inspect the exterior of the shipment as soon as reasonably possible upon delivery and before the driver departs. If the packaging appears materially damaged, torn, punctured, crushed, wet, or mishandled, you should note the issue on the delivery receipt, take photographs, and notify us promptly.

You must inspect the product itself, verify the model, quantity, finish, upholstery, and major accessories, and report visible damage, shortages, wrong-item delivery, or other initial issues within the timeframes stated in our Shipping Policy and Return & Refund Policy.

You should retain the original packaging, including cartons, protective materials, pallet, crate, labels, manuals, and hardware packs, until the product has been inspected and any claim is fully resolved, unless we confirm in writing that the packaging may be discarded.

Failure to promptly inspect, document visible transit issues, or preserve packaging may reduce the remedies practically available for freight claims or supplier review to the extent permitted by law.

16. Risk of Loss and Title

Except where applicable law provides otherwise, risk of loss or damage passes to you when the product is delivered to the agreed delivery point and signed for, or when delivery is tendered and made available in accordance with the applicable service level.

For standard curbside freight, this generally occurs when the carrier unloads the shipment at the designated delivery point and obtains or attempts to obtain delivery acknowledgment in the normal course. Proof of delivery may include a signature, digital acceptance, delivery photograph, carrier scan, or other customary shipping record.

Title to products does not pass until we have received full cleared payment of all amounts owing for the relevant transaction, unless mandatory law requires a different result.

If you arrange your own carrier, freight forwarder, reshipper, warehouse, installer, or third-party mover after the product leaves our control, all risk associated with onward transportation, handling, storage, assembly, installation, or use is yours.

17. Returns, Refunds, Exchanges, and Cancellations

Our Return & Refund Policy forms part of these Terms and governs eligibility, claim windows, proof requirements, exclusions, return authorization requirements, refund methods, and available remedies.

No return may be made without our prior written authorization and instructions.

Unless required by law or expressly approved by us in writing, we do not accept preference-based returns for reasons such as change of mind, buyer's remorse, comfort preference, firmness preference, color preference, room fit, access issues, ordering error, scheduling changes, contractor delays, or similar reasons unrelated to verified defect, verified shipping damage, material mismatch with the written description, wrong item delivery, or another legally required remedy.

Custom-made, personalized, made-to-order, specially configured, final sale, clearance, closeout, discontinued, hygiene-sensitive, consumable, or already-performed service items may be non-returnable or subject to restricted remedies except where applicable law requires otherwise.

If we choose in a specific written case to accept a non-defective return as an exception, that decision is discretionary, case-specific, and does not create a continuing right. In such a case, outbound shipping, return shipping, carrier charges, handling costs, and restocking fees may apply to the extent disclosed by us or set out in the applicable policy.

18. Warranty and Warranty Limitations

Products sold by 24K Maple Supply may be accompanied by a written limited warranty, including our posted Warranty Policy and any product-specific written warranty statement.

Warranty coverage, where offered, is limited and typically applies only to manufacturing defects in materials or workmanship arising under normal intended use during the applicable warranty period. Unless the law requires otherwise, our warranty remedy may be limited to troubleshooting, repair, replacement parts, component replacement, equivalent replacement, or another commercially reasonable remedy chosen by us.

Without limiting the full Warranty Policy, warranty coverage generally does not extend to normal wear and tear, upholstery wear, cosmetic wear, padding compression through ordinary use, consumables, accidental damage, transit damage not timely reported, misuse, abuse, improper assembly, improper maintenance, improper storage, incorrect electrical supply, unauthorized repair, unauthorized modification, or damage caused during customer handling, relocation, or reinstallation.

We may require proof of purchase, model information, serial information, photos, video, troubleshooting steps, inspection access, or return of specific components as part of claim handling. Where only a component is defective, we may replace or repair only that component rather than the entire unit, to the extent permitted by law.

19. Product Use, Weight Capacity, and Safety

You must use all products only for their intended purpose and within any stated load, environmental, voltage, and operational limitations.

Published weight capacities, height ranges, angle ranges, motor functions, and related specifications describe intended operating parameters under normal conditions. They do not authorize misuse, dynamic loading, jumping, impact loading, concentrated point loading, abusive operation, or use with incompatible accessories or third-party modifications.

You must not operate a damaged, unstable, incompletely assembled, or electrically compromised product. You must stop using a product immediately if it appears unsafe, unstable, malfunctioning, or defective.

Where a product is used on clients, patients, or members of the public, you are solely responsible for supervision, safe transfer, correct positioning, sanitation protocols, operator training, and professional judgment.

20. No Medical, Clinical, Ergonomic, or Business Outcome Advice

24K Maple Supply sells products and related services. We do not provide medical advice, physiotherapy advice, treatment advice, clinical guidance, legal compliance advice, engineering certification, occupational health advice, or infection-control certification.

Any statement by us about typical use cases, comfort, ergonomics, workflow, treatment environments, practitioner convenience, or room layout is general informational content only and should not be relied on as professional advice.

We do not guarantee that any product will improve client comfort, patient outcome, workflow, treatment result, clinic efficiency, booking retention, aesthetics, or business profitability.

21. Showroom Visits, Demonstrations, and Recommendations

We may offer showroom visits, demonstrations, comparisons, consultations, or product discussions. Any demonstration or showroom model may differ from a new boxed product in terms of wear, accessories, cosmetic condition, or setup.

Any recommendation or opinion expressed by us about what product may suit your business, service menu, practitioner style, or room dimensions is non-binding unless expressly incorporated into a written custom recommendation or written transaction document issued by an authorized representative.

Final suitability remains your responsibility.

22. User Content, Reviews, Feedback, and Submissions

If you submit reviews, ratings, comments, suggestions, testimonials, photos, videos, or other content to us or through the Site, you grant 24K Maple Supply a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, adapt, publish, translate, distribute, display, and create derivative works from that content in any media, subject to our Privacy Policy where personal information is involved.

You represent and warrant that you own or control all necessary rights in the content you submit, that the content is accurate to the best of your knowledge, and that it does not violate any law or third-party right.

We are not obligated to keep submissions confidential, compensate you for them, use them, or respond to them. We may remove, refuse, edit, or moderate content at our discretion.

23. Intellectual Property

The Site and all content on it, including text, graphics, layouts, logos, icons, photos, videos, product descriptions, page design, databases, compilations, and trademarks, are owned by or licensed to 24K Maple Supply and are protected by applicable intellectual property and unfair competition laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for legitimate personal or internal business shopping and information purposes.

You may not copy, reproduce, republish, upload, transmit, distribute, modify, scrape, mirror, frame, systematically extract, data-mine, commercially exploit, or create derivative works from the Site or its content without our prior written consent, except as permitted by mandatory law.

You may not use robots, scrapers, spiders, crawlers, AI harvesting tools, model-training tools, or other automated means to collect Site data for competitive intelligence, model training, catalog replication, resale listing creation, or other unauthorized purposes.

24. Prohibited Uses

You may not use the Site or any product for any unlawful, fraudulent, deceptive, abusive, unsafe, or prohibited purpose.

  • violating any law, regulation, or court order;
  • infringing intellectual property rights or privacy rights;
  • uploading malicious code, spam, bots, or harmful content;
  • interfering with Site security, pricing logic, checkout operations, or promotions;
  • harvesting personal information without authorization;
  • impersonating another person or entity;
  • publishing false or misleading reviews;
  • harassing, threatening, or abusing our staff or service providers; or
  • initiating bad-faith chargebacks or other abusive payment disputes.

We may investigate suspected violations and may suspend access, cancel orders, refuse service, preserve records, cooperate with law enforcement, and take any other lawful action we consider appropriate.

25. Third-Party Platforms, Tools, and Links

The Site may be hosted, powered, or supported in whole or in part by third-party service providers, including e-commerce platforms, payment processors, financing tools, review providers, freight brokers, carriers, analytics services, marketing tools, and social media integrations.

The Site may also contain links to third-party websites or services. Those third-party tools and links are provided for convenience only and are offered "as is" and "as available," without warranty or endorsement by us except where the law provides otherwise.

Your dealings with third-party services are at your own risk and subject to the third party's terms and privacy practices. We are not responsible for their independent content, conduct, policies, security, availability, or performance, except to the extent caused by our own breach of a non-excludable legal duty.

26. Electronic Communications; Email, SMS, and Phone Contact

By using the Site or making a purchase, you consent to receive electronic communications from us relating to your inquiry, order, delivery, account, refund case, warranty claim, support request, or any matter reasonably connected to the transaction.

If you expressly opt in to receive promotional or marketing messages, you agree that we and our service providers may send you commercial electronic messages, including email or text messages, subject to applicable law and the specific opt-in language shown at signup, checkout, or other collection point.

Your consent to marketing messages is not a condition of purchase unless the law expressly allows that for a particular communication type. You may withdraw marketing consent at any time using the unsubscribe mechanism, STOP or HELP instruction where applicable, or another opt-out method made available in the message or on the Site.

Message frequency may vary. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Transactional and service-related messages may still be sent where legally permitted even if you opt out of marketing messages.

27. Privacy

Our collection, use, disclosure, retention, and safeguarding of personal information are governed by our Privacy Policy as updated from time to time.

By using the Site or placing an order, you acknowledge that we may collect and use personal information for account administration, payment processing, fraud prevention, order fulfillment, delivery coordination, support, warranty administration, legal compliance, marketing where permitted, and business analytics, all subject to our Privacy Policy and applicable privacy law.

If you provide us with personal information about another person, such as a delivery contact or authorized recipient, you represent that you are authorized to do so for a lawful transaction-related purpose.

28. Service Interruptions and Site Availability

We do not guarantee that the Site, checkout system, account area, forms, emails, payment pages, or any related service will be uninterrupted, timely, secure, error-free, or free of harmful components.

We may perform maintenance, updates, repairs, migrations, or security changes at any time.

Except to the extent prohibited by law, we are not responsible for losses arising from downtime, browser incompatibility, payment gateway outage, spam filtering, email delivery issues, third-party app failure, or similar technical issues.

29. Disclaimer of Warranties

To the maximum extent permitted by law, and except for any express written warranty issued by 24K Maple Supply and any non-waivable statutory right, the Site, the products, the services, and all content, information, and support are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all express, implied, collateral, and statutory representations, conditions, warranties, and guarantees not expressly set out in a written document issued by an authorized representative of 24K Maple Supply, including any implied warranty or condition of merchantability, merchantable quality, fitness for a particular purpose, durability, title, non-infringement, compatibility, or uninterrupted use.

Because some jurisdictions do not allow the exclusion of certain conditions or warranties, some of the above exclusions may not apply to you.

30. Limitation of Liability

To the maximum extent permitted by law, 24K Maple Supply, its affiliates, and their respective directors, officers, employees, agents, contractors, carriers, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, aggravated, or punitive damages, or for any loss of profit, revenue, savings, goodwill, data, business opportunity, project delay, contractor cost, installation cost, removal cost, clinic downtime, booking loss, customer claim, substitute equipment cost, reputational harm, or other economic loss arising out of or relating to the Site, any product, any service, any delay, any defect, any support issue, or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to any claim will not exceed the amount actually paid to 24K Maple Supply for the specific product or service giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

31. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless 24K Maple Supply, its affiliates, and their respective directors, officers, employees, agents, contractors, and service providers from and against any claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to your breach of these Terms, your misuse of the Site or any product, your violation of any law or third-party right, your assembly, installation, maintenance, modification, or operation of a product, any injury, property damage, or other loss involving your clients, patients, staff, contractors, invitees, or premises after delivery, or your submitted content, except to the extent caused directly by our breach of a non-excludable duty.

32. Chargebacks and Payment Disputes

If you believe there is a billing error or unauthorized charge, you agree to contact us first and provide a reasonable opportunity to review the matter in good faith. This does not limit any statutory right you may have to dispute a charge with your card issuer, bank, or payment provider.

However, initiating a chargeback, reversal, or payment dispute in bad faith, after receiving the product without a valid legal basis, or while withholding material facts may constitute a breach of these Terms. In such cases, to the extent permitted by law, we may provide evidence to the payment provider, suspend non-mandatory support, refuse future orders, seek recovery of reasonable administrative and collection costs, and pursue other lawful remedies.

33. Recalls, Safety Notices, and Corrective Actions

If a manufacturer, supplier, regulator, carrier, or 24K Maple Supply issues a recall, safety notice, service bulletin, updated instruction, corrective action, or replacement-part notice affecting a product, you agree to cooperate reasonably with that process.

  • stopping use of the product when advised;
  • providing identifying information reasonably necessary to verify affected units;
  • allowing inspection, troubleshooting, or documentation review where appropriate;
  • installing replacement parts or following updated operating instructions; and
  • following return, disposal, or service instructions where a safety-related corrective measure is required.

You are responsible for keeping your order contact details reasonably current so that we can reach you regarding material safety matters.

34. Force Majeure

We are not liable for any delay, failure, shortage, loss, or inability to perform caused directly or indirectly by events beyond our reasonable control, including acts of God, severe weather, flood, fire, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, labor shortage, strike, lockout, supplier failure, customs delay, transportation shortage, power outage, internet outage, cyber incident by third parties, government order, legal restriction, or other force majeure event.

Where commercially reasonable, we may suspend performance, extend time for performance, allocate inventory, change carriers, substitute commercially comparable components, or cancel affected transactions with a refund of amounts paid for undelivered goods if that is the most practical lawful remedy.

35. Refusal of Service; Suspension; Termination

We reserve the right to refuse service, terminate accounts, cancel orders, limit quantities, restrict Site access, or suspend communications with any person at any time for any lawful reason, including suspected fraud, abusive conduct, safety concerns, non-payment, improper return activity, reseller activity, or system security concerns.

You may stop using the Site at any time. Any obligations or liabilities incurred before termination, including payment obligations and those provisions that by their nature should survive termination, will survive.

36. Governing Law and Dispute Forum

These Terms and any dispute arising out of or relating to the Site, any product, any service, or any transaction with 24K Maple Supply shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules, except to the extent that mandatory law in another jurisdiction applies and cannot be displaced.

Subject to any non-waivable right you may have to proceed elsewhere, you agree that the courts located in Ontario, Canada shall have jurisdiction over disputes arising from these Terms or the related transaction.

Before commencing formal proceedings, the parties are encouraged, though not required, to first attempt to resolve the matter informally through written notice and good-faith discussion.

37. Language

These Terms are drafted in English. We may provide a French translation or other translation for convenience, accessibility, or commercial reasons. To the extent permitted by applicable law, the English version controls in the event of a discrepancy or inconsistency between versions.

Nothing in this section limits any language right that cannot be waived under applicable law.

38. Changes to These Terms

We may update, replace, or revise these Terms from time to time by posting an updated version on the Site or otherwise making the updated version available.

For Site use after the effective date, continued access to or use of the Site constitutes acceptance of the updated Terms. For completed transactions, the version in effect at the time of order acceptance will generally continue to govern that transaction unless the law requires otherwise or both parties agree in writing to a change.

40. General Provisions

If any provision of these Terms is found invalid, illegal, void, or unenforceable, that provision will be severed or limited only to the minimum extent necessary, and the remainder of these Terms will remain in full force and effect.

No waiver by 24K Maple Supply of any breach or default shall be deemed a waiver of any prior or subsequent breach or default. Any waiver must be in writing and signed by an authorized representative to be effective, except where the law provides otherwise.

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, reorganization, sale of assets, financing, internal restructuring, or business transfer.
